1. Definitions
1.1 “Registration” means a registration for enrolment in a course.
1.2 “Institute” means the Edelstam Institute (organization nr. 559034-4742), SE-104 50 Stockholm, Sweden;
1.3 “Contract” means the Registration, these Terms and Conditions and the Special Terms and Conditions;
1.4 “Course” means an intensive course or a tailor-made course in respect of which a Registration has been made by or on behalf of a Participant;
1.5 “Course Fees” means the fees payable in respect of a Course as set out in the Course outline;
1.6 “Special Terms and Conditions” means the terms and conditions contained in the Course outline and on the Course website;
1.7 “Start Date” means the Course start date as set out in the Course outline and on the Course website;
1.8 “Participant” means the person in respect of whom a Registration has been made.
2. Registrations
2.1 These Terms and Conditions apply to the enrollment of the Participant in the Course and provision of such Course by the Edelstam Institute. The Edelstam Institute and the Participant are bound by the Contract upon notification by the Institute of the Registration made by or on behalf of the Participant in accordance with clause 2.2. The Contract forms the entire agreement between the Edelstam Institute and the Participant with respect to the Course. Where there is any inconsistency between these Terms and Conditions and the Special Terms and Conditions, the Special Terms and Conditions will take precedence.
2.2 Acceptance or rejection of a Registration
2.2.1 The Edelstam Institute may, in its sole discretion, accept or reject a Registration. The Institute will notify the Participant in writing or by email accordingly.
2.2.2 The payment of any sum intended to be in respect of the Course Fees by or on behalf of the Participant does not oblige the Edelstam Institute to accept a Registration.
2.3 In all cases, the Participant will receive a notification of its registration to the course from the Edelstam Institute within 1 working day the registration is received by the Edelstam Institute.
3. Payment terms
3.1 The Participant is liable to the Edelstam Institute for the Course Fees. The Course Fees are due on the earliest at the moment the Participant fills out the Registration form and on the latest 2 weeks after of the Registration deadline (payment deadline). Participants will receive an invoice issued by the Edelstam Institute within maximum 1 week after the registration deadline. If a Registration is rejected by the Institute after payment of the Course Fees, the paid Course Fees will be refunded in full.
3.2 The deadline for payment is 2 weeks after the registration deadline. If the Course Fees have not been received by the Edelstam Institute in full by the due date, the Edelstam Institute may exclude the Participant from the Course.
3.3 The Edelstam Institute only accepts payment via Bankgiro, Postgirobank, and international bank transfer. The Participant must notify the Edelstam Institute of the payment.
3.4 All payments of Course Fees must be made in SEK except indicated otherwise. Fees quoted are exclusive of VAT and other taxes where applicable, and all those taxes will be shown separately on the invoice. Any currency conversion costs or other charges incurred in connection with the payment of Course Fees are to be paid in addition to the Course Fees. No deduction from the Course Fees for such costs or charges may be made.

4. Cancellation and Amendment of Courses by the Edelstam Institute
4.1 The Edelstam Institute reserves the right to cancel or postpone the Course in special circumstances (e.g. if the minimum required number of Participants is not met at the deadline for registration) or for reasons beyond the control of the Edelstam Institute (e.g. if there is a major or sudden change in the context of the country where the Course will be held).
4.2 The Edelstam Institute also reserves the right to:
4.2.1 change or amend the Course structure or content;
4.2.2 change or amend the individuals responsible for moderating and delivering the Course;
4.2.3 change the Course venue; and
4.2.4 change the Course Fees.
4.3 The Edelstam Institute will endeavor to inform Participants about cancellations, postponements, and amendments to the Course with as much notice as possible.
4.4 If the Course is cancelled by the Edelstam Institute, Course Fees received by the Edelstam Institute in respect of the Course will be refunded in full. However participants will need to come up for all the cancellation fees for accommodation arrangements made through the Edelstam Institute and fees for travel made on their own and related to this course. No claims to compensation for the participants arise. It is the participant’s responsibility to be adequately insured. Any liability by the Edelstam Institute is excluded.
4.5 If the Course is postponed, the Participant may elect to attend the Course as postponed or to receive a refund. In the event that a Participant elects to receive a refund, the Participant must inform the Edelstam Institute by email to: administration@edelstaminstitute.org. The Participant is advised to keep evidence of the date on which such notice is sent. Requests for refunds will be acknowledged in writing.
4.6 If an amendment (facilitators, content…) is made to the course or the course venue changes within the same country, no claims for compensation will be accepted.
4.7 In case of a change in the Course Fees, any Course already paid in full will not be subject to the increased price.
4.8 An administration fee of 1800 SEK (included in the Course Fee) will be charged for all refunds.
5. Cancellation and Amendment of Courses by the Participant
5.1 All cancellations must be made in writing and the Participant must receive notification of the cancellation from the Edelstam Institute to be considered. The Participant is advised to keep evidence of the email notification of the cancellation that is sent.
5.2 If the Participant wishes to cancel their Registration for a Course before payment of the Course Fees, the Participant may do so in writing to: administration@edelstaminstitute.org.Then the Participant will not be liable for the Course Fees.
5.3 If the Participant wishes to cancel their enrollment in a Course after payment of the Course Fee, the following rules apply:
5.3.1 Cancellations need to be made in writing to: administration@edelstaminstitute.org.
5.3.2 Until the deadline for payments, 100% of the course fee will be refunded.
5.3.3 Until 1 week prior to the start of the course, 50% of the course fee will be refunded.
5.3.4 As of 1 week prior to the start of the course, no refund is possible.
5.3.5 An administration fee of 1800 SEK (included in the Course Fee) will be charged for all refunds.
5.4 If the Participant fails to attend the Course no refund of Course Fees will be made.
5.5 Participants are responsible for complying with entry and visa requirements and payments of the countries where the course is provided and for obtaining the necessary consents to enable their participation in the Course. The rejection of a visa or other entry application does not affect the terms set out in these Terms and Conditions and the Participant will remain liable for the Course Fee.
5.6 Participant substitution may be made at any time. An administration fee (fixed fee of 1800 SEK) will be charged for the change.
5.7 In the event that a Participant wishes to transfer his Registration to another Course, an administration fee (fixed fee of 1800 SEK) will be charged. Transfers can be made to any Course within 1 year. However Participants will need to come up for all the cancellation fees for accommodation arrangements made through the Edelstam Institute and fees for travel made on their own and related to this course. No claims to compensation for the participants arise. It is the participant’s responsibility to be adequately insured. Any liability by the Edelstam Institute is excluded.
6. Provision of Courses
6.1 The Participant will be solely responsible for determining whether the Course is sufficient and suitable for the needs of the Participant. The Edelstam Institute does not provide any guarantee in respect of the standard of a Participant’s abilities on completion of the Course.
6.2 Course Fees include an administration fee (fixed fee of 1800 SEK), a tuition fee, and an accommodation & subsistence fee.
6.3 Unless indicated otherwise, Course Fees do not include travel, transportation, transfers, insurance or other costs that might arise prior to or during the term of the Course.
6.4 The Participant agrees to apply with all applicable policies and regulations of the Edelstam Institute.
6.5 The Edelstam Institute reserves the right to remove the Participant from a Course or exclude a Participant from the Edelstam Institute premises if the behavior or demeanor of the Participant is considered unacceptable.
6.6 The Participant warrants that she/he has all necessary visas, permissions and consents required for their entry/stay in the country where the course is provided and for their attendance of the Course.
7. Limitation of Liability
7.1 Subject to clause 7.3, the liability of the Edelstam Institute to the Participant with respect to the provision of the Course, the cancellation, postponement, or amendment or the Course, any negligence, any breach of the Contract, or arising in any other way out of the subject-matter of these Terms and Conditions, will not extend to:
7.1.1 any indirect losses or damages, or to any loss of profits, loss of contracts or opportunity, whether direct or indirect, even if the Edelstam Institute had been advised of the possibility of those losses or if they were within the Edelstam Institute’s contemplation; or
7.1.2 any costs or expenses incurred by any person or organization in connection with travel, accommodation, reservations or other arrangements.
7.2 In any event, subject to clause 7.3, the liability of the Edelstam Institute to the Participant with respect to the provision of the Course, the cancellation, postponement, or amendment or the Course, any negligence, any breach of the Contract, or arising in any other way out of the subject-matter of these Terms and Conditions is limited to the amount of Course Fees received from or on behalf of the Participant in respect of the Course.
7.3 Nothing in this Agreement will operate to limit or exclude the liability of the Edelstam Institute for death or personal injury arising from the Edelstam Institute’s negligence, fraud or any other liability that, by law, cannot be limited or excluded.
7.4 Views expressed by course participants and facilitators are their own. The Edelstam Institute does not accept any liability for advice given or views expressed by course members or in any notes or documentation provided to Participants.
7.5 Unless otherwise indicated, all courses are taught in English. The Edelstam Institute does not accept any liability for any losses, costs or expenses incurred by or on behalf of the Participant in connection with the Participant’s lack of English language knowledge.
7.6 The Edelstam Institute accepts no liability for loss or damage to the Participant’s property and shall not provide any insurance cover whatsoever to the Participant.
7.7 The warranties and undertakings given by the Edelstam Institute in these terms and conditions are, to the extent permitted by law, given in lieu of all implied conditions, warranties, representations or other terms, including any relating to satisfactory quality, fitness for a particular or any purpose, or the ability to achieve any particular result.
8. Intellectual Property
Course materials distributed in class and Course content are supplied only for the Participant’s personal use. The Edelstam Institute, together with the facilitators, remains the owner of all intellectual property in Course materials with exception of public links. No part of the materials may be copied or reproduced without permission.
9. Online evaluation
The Edelstam Institute is committed to providing a high standard of educational programs. Participants are asked to fill in an online evaluation upon completion of the on-site phase of the course.
10. Disputes and governing law
10.1 Any dispute, controversy or claim arising out of or in connection with these Terms and Conditions, or the breach, termination or invalidity thereof, shall be finally settled by arbitration in accordance with the Rules for Expedited Arbitrations of the Arbitration Institute of the Stockholm Chamber of Commerce.
10.2 The seat of arbitration shall be Stockholm.
10.3 The language to be used in the arbitral proceedings shall be Swedish.
10.4 This contract shall be governed by the substantive law of Sweden.
